It's the violence and mature themes. Honestly, it's pretty much what you'd expect from a game where criminal behavior is a major gameplay element.

GTA III is M because you can basically do a lot of stuff you'd get grounded for in real life. Think stealing cars, running from cops, and causing chaos. Definitely not kid-friendly!
