It’s because he’s poisoned by the very metal that makes him awesome: adamantium.
He’s getting old, his healing factor can’t keep up, and when he faces X-24, it's too much for him to handle.
He dies because his healing factor is weakened by the adamantium poisoning, and he gets too old to recover.
