It's pretty much because you can do a lot of adult stuff in there. Like, more than what you'd see in an R-rated movie sometimes.

GTA 5's M rating comes from its strong content, which includes intense violence, blood and gore, mature humor, strong language, nudity, strong sexual content, and the use of drugs and alcohol. Basically, it's a buffet of mature content, which isn't suitable for younger players. The game dives deep into the criminal underworld, offering a gritty, realistic take on its themes, which is why it鈥檚 pegged with the mature audience label.

Just because of the fun stuff! Jokes aside, it's rated M due to the adult themes, violence, and pretty much everything that makes it awesome for grown-ups but a no-go for kids.
