Simple answer: Sony and Raimi didn't see eye to eye. Poof, no more Spider-Man 4.
Spider-Man 4 got the ax because of creative differences between director Sam Raimi and the studio, plus some major script issues. Raimi felt he couldn't deliver a quality film in the time given, so they scrapped it!
I read that Sam Raimi wasn't happy with how the story was shaping up and didn't want to rush out a movie that didn't meet his standards. Kudos to him for being picky!
Raimi dropped out, and Sony saw an opportunity to reboot. They wanted a new direction with a younger, hipper Spidey.
